Welcome to GigLegal! These Terms of Service (“Terms”) govern your use of the websites, applications, and services (collectively, the “Services”) provided by GigLegal LLC (“GigLegal,” “we,” “us,” or “our”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

1. GigLegal is Not a Law Firm

Crucially, GigLegal is not a law firm and does not provide legal advice. The information, document templates, and tools provided on our platform are for informational and self-help purposes only.

  • No Attorney-Client Relationship: Your use of our Services does not create an attorney-client relationship between you and GigLegal. Communications with GigLegal are not protected by attorney-client privilege.
  • Self-Representation: You are representing yourself in any legal matter you undertake using our document services. We do not review your documents for legal sufficiency or apply the law to your specific situation.
  • Consult an Attorney: If you require legal advice for a specific problem, you should consult with a licensed attorney, including those available through our Attorney Marketplace.

2. User Accounts & Roles

To access most features, you must register for an account. You agree to provide accurate and complete information and to keep this information up to date.

  • Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
  • User Roles: When you register, you may choose a role (e.g., “Freelancer” or “Client”). These roles may grant you access to different platform features. You may have the ability to act in different capacities (e.g., a Freelancer hiring another Freelancer) as governed by these Terms.
  • Age Requirement: You must be at least 18 years of age and legally able to enter into a contract to use our Services.

3. The Attorney Marketplace

GigLegal provides a platform for you to connect with independent, third-party attorneys (“Attorneys”).

  • Independent Professionals: Attorneys listed on our marketplace are not employees or agents of GigLegal. They are independent professionals solely responsible for the legal services they provide.
  • No Endorsement: GigLegal does not endorse any specific Attorney. We provide a directory and vetting process, but the ultimate responsibility for choosing an attorney and evaluating their qualifications rests with you.
  • Attorney-Client Relationship: Any attorney-client relationship you form with an Attorney is strictly between you and that Attorney. GigLegal is not a party to your agreement.
  • Fees and Billing: You agree to the fixed-price service fees listed by the Attorney. GigLegal acts as a payment facilitator, and we will charge a commission on these services as outlined in our fee structure.

4. Escrow Services and the “Get Paid Guarantee”

Our Secure Project Portal includes an escrow service to facilitate secure payments between Clients and Freelancers.

  • Funding: When a project is initiated, the Client must deposit the full project funds into the escrow account.
  • Milestone Payouts: Funds are held in escrow and released to the Freelancer in stages (milestones) only upon approval by the Client or in accordance with our automated fund release policy.
  • Dispute Resolution: In the event of a disagreement, you agree to use our formal Dispute Resolution process. This may involve mediation by our support staff or a final decision by a platform administrator. By using the Escrow Services, you agree that GigLegal's decision in any dispute is final and binding.
  • Service Fee: GigLegal charges a service fee on all funds processed through the escrow system.

5. User Content and Conduct

You are responsible for any documents, messages, or other content you create, upload, or share on our platform (“User Content”).

  • Ownership: You retain ownership of your User Content. However, you grant GigLegal a license to use, store, and process your User Content as necessary to provide and improve our Services.
  • Acceptable Use: You agree not to use the Services to:
    • • Violate any laws or regulations.
    • • Infringe on the intellectual property rights of others.
    • • Harass, abuse, or defame any person.
    • • Upload malicious software or viruses.
    • • Create a false identity or impersonate another person.
  • Storage Limits: Your use of our cloud storage is subject to a limit of 10 GB per user account. We reserve the right to restrict new uploads if you exceed this limit.

6. Fees, Payments, and Promotions

  • Subscription Fees: Access to certain features requires a recurring subscription. You authorize us to charge your payment method for these fees. Subscriptions will automatically renew unless you cancel.
  • Promotional Codes: We may offer promotional codes that provide discounts or other benefits. These codes are subject to the terms of the specific promotion and may not be combined. We reserve the right to grant or revoke promotions at our discretion.
  • Payment Processing: We use a third-party payment processor (e.g., Stripe) for all transactions. These transactions are subject to the processor's terms and fees.

7. Account Management

  • Password Resets: If you forget your password, you may request a reset through the “Forgot Password” link on the login page. We will send a secure link to your registered email address.
  • Termination:
    • By You: You may terminate your account at any time.
    • By Us: We reserve the right to suspend or terminate your account at any time, without notice, if you violate these Terms, engage in fraudulent activity, or misuse the Services.

8. Disclaimers and Limitation of Liability

  • “AS IS” Service: Our Services are provided “as is” and “as available” without any warranties, express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
  • Limitation of Liability: To the fullest extent permitted by law, GigLegal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of our Services.

9. Dispute Resolution by Binding Arbitration

Most disputes can be resolved by contacting our support team. However, if we are unable to resolve a dispute informally, you and GigLegal agree to resolve any claims relating to these Terms or the Services through final and binding arbitration.

  • No Class Actions: You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

10. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles.
  • Modifications: We may revise these Terms from time to time. We will post the most current version on our website. By continuing to use the Services after revisions become effective, you agree to be bound by the revised Terms.
